• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SERVICE;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• DAMAGES ARISING FROM ANY FOOD PRODUCTS ORDERED THROUGH THIRD-PARTY DELIVERY PLATFORMS.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATION OF LIABILITY SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

10. Indemnification

You agree to defend, indemnify, and hold harmless Church's Chicken, its affiliates, subsidiaries, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Service, including but not limited to any use of the Service's content other than as expressly authorized in these Terms;
• Your violation of any third party's rights, including intellectual property rights or privacy rights;
• Your violation of any applicable law, regulation, or rule;
• Any User Content you submit, post, or transmit through the Service;
• Your negligence or willful misconduct;
• Any misrepresentation made by you.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without our prior written consent.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States.

Both parties hereby consent to personal jurisdiction and venue in such courts and waive any objection as to inconvenient forum. Nothing in this section shall prevent Church's Chicken from seeking injunctive or other equitable relief in any court of competent jurisdiction.

These Terms are subject to and shall be interpreted in accordance with applicable United States federal law, including the Federal Trade Commission Act (15 U.S.C. § 45) governing unfair or deceptive acts or practices, and applicable state consumer protection statutes.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at [email protected] with a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice. If the dispute cannot be resolved informally within that period, either party may pursue formal dispute resolution as described below.

15.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service that cannot be resolved informally shall be finally settled by binding arbitration administered by a nationally recognized arbitration organization (such as the American Arbitration Association) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in English, in the United States, unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND CHURCH'S CHICKEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Church's Chicken agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency equitable relief in a court of competent jurisdiction in order to maintain the status quo pending arbitration, and either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

16. Term and Termination

16.1 Term

These Terms shall remain in full force and effect for as long as you access or use the Service.

16.2 Termination by You

You may terminate your account and these Terms at any time by ceasing to use the Service and, if applicable, by deleting your account through the account settings or by contacting us at [email protected].

16.3 Termination by Us

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire and exclusive agreement between you and Church's Chicken with respect to the Service, and supersede and replace any prior agreements, representations, or understandings between you and Church's Chicken regarding the Service, whether written or oral.

Church's Chicken shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, governmental actions, power failures, internet outages, strikes or labor disputes, or other events of force majeure.

23. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction and without prior notice to you, including in connection with a merger, acquisition, sale of assets, or operation of law. Any assignment in violation of this section shall be void. Subject to the foregoing, these Terms will be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
